Terms and Conditions of Use

These Terms and Conditions of Use (hereinafter, the "Terms") regulate access to and use of the website, digital platforms, and software services provided by I.A.S. INGENIERÍA, APLICACIONES Y SOFTWARE S.A.S. (hereinafter, "IAS Software"), domiciled in Medellín, Colombia. By accessing or using our services, the user agrees to be bound by these Terms, the Personal Data Processing Policy, and other policies published on this site.

1. Purpose and Scope

1.1. These Terms apply to all users (natural or legal persons) who access the IAS Software website, contract software development services, technology consulting, solution implementation, or any other service offered by the organization.

1.2. Continued use of the website or services implies full and unconditional acceptance of these Terms in their version effective at the time of access.

2. Legal Capacity

2.1. The user declares to be of legal age under Colombian law (18 years) and to have the necessary legal capacity to be bound by these Terms. If acting on behalf of a legal entity, the user declares having sufficient authority to bind it.

3. Services

3.1. IAS Software offers custom software development services, application modernization, ERP/CRM system implementation, business intelligence, quality assurance (QA), APIs and integrations, and collaboration models (Staff Augmentation, Agile Sourcing, and Fixed Scope Project).

3.2. The specific characteristics, scope, timelines, and commercial conditions of each service will be established in individual contracts or commercial proposals signed between the parties.

4. Acceptable Use of the Website

4.1. The user agrees to use the website and services in accordance with the law, morality, public order, and these Terms. The following is prohibited:

  • Using the site for illegal, fraudulent purposes, or those that violate third-party rights.
  • Attempting unauthorized access to systems, servers, or networks connected to the site.
  • Introducing viruses, malware, or any malicious code.
  • Reproducing, distributing, or modifying site content without written authorization.
  • Reverse engineering, decompiling, or disassembling any component of the site or software.
  • Impersonating another person or entity.

5. Intellectual Property

5.1. All website content — including but not limited to texts, graphics, logos, icons, images, software, source code, designs, and data compilations — is the exclusive property of IAS Software or its licensors and is protected by Colombian legislation (Law 23 of 1982 and Andean Decision 351 of 1993) and international copyright and industrial property law.

5.2. Software products developed for clients will be governed by the intellectual property clauses established in each particular contract.

6. Personal Data Processing and Privacy

6.1. In its current state, the Site does not collect, store, or process personal information from users who visit it. No registration forms, user accounts, or authentication systems involving personal data processing are used.

6.2. However, if the user voluntarily contacts the company through the corporate email or other communication channels available on the Site, the information provided will be processed in accordance with Law 1581 of 2012 (Colombia's General Personal Data Protection Regime), Decree 1377 of 2013, and the Personal Data Processing Policy.

6.3. IAS Software implements technical and organizational measures aligned with ISO/IEC 27001:2022 and the OWASP Top 10 to ensure the security of collected personal information.

7. Confidentiality

7.1. IAS Software commits to maintaining the confidentiality of client information that is not in the public domain, in accordance with Article 260 of the Colombian Commercial Code and the confidentiality clauses agreed upon contractually.

7.2. This obligation survives even after the termination of the contractual relationship, except with the express authorization of the owner or a requirement from a competent authority.

8. Limitation of Liability

8.1. The website and its informational content are provided "as is" and "as available." IAS Software does not guarantee that the site will be error-free or uninterrupted.

8.2. IAS Software will not be liable for indirect, incidental, special, consequential, or punitive damages derived from the use or inability to use the website.

8.3. Contractual liability for services will be governed exclusively by what is agreed in individual contracts between the parties, in accordance with the civil liability regime of the Colombian Civil Code (articles 1602 et seq.) and the Commercial Code.

9. Availability and Modifications

9.1. IAS Software reserves the right to modify, suspend, or discontinue any aspect of the website at any time and without prior notice.

9.2. These Terms may be updated periodically. Continued use after a modification constitutes acceptance of the new Terms.

10. Third-Party Links

10.1. The site may contain links to third-party websites. IAS Software does not control, endorse, or assume responsibility for the content, privacy policies, or practices of such sites. Access to third-party sites is at the user's own risk.

11. Electronic Communications

11.1. By providing your email address through the website or within the framework of a contractual relationship, the user authorizes IAS Software to send communications related to contracted services, relevant updates, and commercial information.

11.2. The user may revoke this authorization at any time by sending a request to ias@ias.com.co, in accordance with the revocation right provided in Law 1581 of 2012.

12. Applicable Law and Jurisdiction

12.1. These Terms are governed by the laws of the Republic of Colombia. For the resolution of any dispute arising from these Terms, the parties submit to the jurisdiction of the judges and courts of the city of Medellín, Colombia, waiving any other jurisdiction that may correspond.

12.2. In the event that any provision of these Terms is declared null or unenforceable, the remaining provisions will maintain their full force and effect (severability clause).
